Statutory Registers and Minute Books for Telangana Companies

Keeping registers and minute books for a Telangana company: virtual and co-working registered offices, AOC-5, ROC Hyderabad requests, and NCLT Hyderabad.

The rules on statutory registers and minute books come from the Companies Act and apply across India. What's specific for a Telangana company is where those records physically sit, who can come asking for them, and how common local arrangements, like virtual offices and co-working spaces in Hyderabad, fit the requirement to keep them at the registered office. This guide covers the essentials and the local angle.

The Records Every Telangana Company Keeps

  • Register of members (MGT-1), the legal record of who owns the company.
  • Register of directors and key managerial personnel, with their shareholdings.
  • Register of charges (CHG-7), for secured loans.
  • Other registers as they apply, such as contracts with interested directors (MBP-4), loans and investments (MBP-2), and significant beneficial owners (BEN-3).
  • Separate minute books for board meetings and general meetings, signed within 30 days of each meeting and kept permanently.

Keeping Records at a Hyderabad Registered Office

By default, registers and minute books are kept at the company's registered office. That's straightforward for a company with its own office, but many Hyderabad startups use a co-working space, a virtual office or a founder's home as their registered office. A few points follow from that:

  • If the registered office is a virtual office or co-working desk, the company still has to be able to keep, and produce, its registers there, or keep them electronically in a way that can be produced on request.
  • The register of members can be kept at another place in India where more than one-tenth of the members live, with a special resolution and notice to the ROC.
  • Books of account can be kept at another place in India, such as the actual operating office, if the board decides and Form AOC-5 is filed with the ROC within seven days.
  • If the registered office moves, within Hyderabad or elsewhere in Telangana, the records move with it.

ROC Hyderabad and Inspections

The Registrar of Companies, Hyderabad, which covers companies registered in Telangana, can call for information, documents and explanations from a company, and can inspect its books and records. Requests often follow a complaint from a shareholder or creditor, or something unusual in the company's filings. A company whose registers and minute books are up to date can answer them from its own records. One that can't produce them is exposed to penalties on the company and its officers.

Shareholder Disputes

When founders fall out, the register of members and the minutes of general meetings are usually the first documents in question. Members can inspect them and ask for copies. If a company refuses, or its register is wrong, a member can apply to the Hyderabad bench of the National Company Law Tribunal, which covers Telangana companies, to have the register rectified or to be given access. Keeping the register current is the simplest way to avoid such disputes.

Not the Same as Labour Law Registers

Telangana businesses also keep registers under state and labour laws, such as the employee, wage and attendance registers required under the Telangana Shops and Establishments Act. Those are separate from the Companies Act registers, are inspected by different authorities, and have their own formats. A company needs both sets, and one doesn't substitute for the other.

A Checklist for Telangana Companies

  1. Open all the core registers and both minute books, if you haven't already.
  2. Decide where they'll be kept, and make sure that fits your registered office arrangement.
  3. If books of account are kept at an operating office elsewhere, file AOC-5 within seven days of the board's decision.
  4. Update registers after every allotment, transfer, director change and charge.
  5. Sign minutes within 30 days of every meeting.
  6. Keep Shops and Establishments and other labour registers separately.
