LLP Registration in Andhra Pradesh: What Founders in Vijayawada and Visakhapatnam Need to Know
An LLP is registered under a central law, but a few things change when your business is in Andhra Pradesh: the Registrar, the stamp duty and local registrations.
A Limited Liability Partnership in India is created under a central law, the LLP Act, 2008, and registered online through the Ministry of Corporate Affairs (MCA). That's true whether your office is in Visakhapatnam, Vijayawada or anywhere else in the country. But a few parts of the process depend on the state where your LLP is based, and it helps to know which ones before you begin.
This guide focuses on the parts that are specific to Andhra Pradesh.
Why Founders in Andhra Pradesh Choose an LLP
Andhra Pradesh has a growing mix of IT and services firms in Visakhapatnam, trading and professional businesses in Vijayawada and Guntur, and manufacturing and logistics around Sri City and the state's ports. Many of the businesses that set up here are consultancies, agencies, traders, contractors and professional practices, which is exactly the kind of business the LLP structure suits:
- Partners' personal assets are generally protected, since their liability is limited to their agreed contribution.
- There's no minimum capital requirement.
- Compliance is lighter than for a company, with no board meetings or annual general meetings.
- Profit sharing and roles are set by the LLP agreement rather than by shareholding.
The main trade-off is fundraising. An LLP can't issue shares, so if you expect to raise venture capital, a Private Limited Company is usually the better choice.
Which Registrar Handles LLPs in Andhra Pradesh?
After the state was divided in 2014, Andhra Pradesh was given its own Registrar of Companies, now based at Vijayawada. An LLP whose registered office is in Andhra Pradesh falls under the Registrar of Companies, Vijayawada for its later filings. Incorporation applications are processed centrally by the MCA's Central Registration Centre, and everything is submitted online, so you won't need to visit either office.
Registered Office Requirements
Your LLP needs a registered office address in India, and for an Andhra Pradesh registration that address must be in the state. The usual documents are:
- A recent utility bill (electricity, water or gas) as address proof.
- If the premises are owned, proof of ownership. If they're rented, the rent agreement and a no-objection certificate from the owner.
A residential property can generally be used as the registered office, as long as you have the owner's NOC where it isn't your own. That's useful for home-based founders and small consultancies starting out.
If you already have an LLP registered in another state, such as Telangana, and want to move it to Andhra Pradesh, that's a change of registered office across states, which involves extra steps. Get professional advice before you start.
The Registration Process, Applied to Andhra Pradesh
The steps are the same as everywhere else in India:
- Get digital signature certificates for the designated partners.
- Choose a name and check it's available, or reserve it with RUN-LLP.
- File the incorporation form (FiLLiP) with details of the partners, designated partners and the Andhra Pradesh registered office.
- Receive the certificate of incorporation with your LLPIN.
- Sign the LLP agreement on stamp paper and file it in Form 3 within 30 days of incorporation.
- Open a bank account and complete GST and other registrations as needed.
At least two designated partners must be individuals, and at least one must be resident in India, meaning someone who has stayed in India for at least 120 days in the previous financial year. Practitioners commonly quote about 10 to 15 working days for the whole registration, assuming the documents are in order and the Registrar raises no queries.
Stamp Duty on the LLP Agreement in Andhra Pradesh
Stamp duty is a state subject, and it's the step where states differ most. In Andhra Pradesh, the LLP agreement is stamped under the Indian Stamp Act as it applies in the state, and the duty depends on the partners' capital contribution.
Rates change from time to time, and figures published online aren't always current, so confirm the duty with the Andhra Pradesh Registration and Stamps Department, or ask the professional preparing your agreement, before you sign. Pay it through e-stamping or on stamp paper as your adviser recommends, and keep the stamped agreement, because you'll need it for the Form 3 filing.
State-Level Registrations After Incorporation
Incorporation is only the start. Depending on what your LLP does, a few registrations sit with the state or local authorities:
Shops and establishments. Businesses with an office or commercial premises in Andhra Pradesh generally need to register under the Andhra Pradesh Shops and Establishments Act, online through the state Labour Department. Fees and requirements depend on the size of the establishment.
Professional tax. Andhra Pradesh levies professional tax, administered by the state Commercial Taxes Department. Employers with staff must register, deduct it from salaries and pay it over. Check the current slabs and process with the department.
GST. Whether you need GST registration depends on your turnover, what you supply and whether you make inter-state supplies, not on the state. If you register, you'll be registered in Andhra Pradesh against your registered office address.
Trade and sector licences. Depending on your business, you may need a trade licence from your municipal corporation, such as Greater Visakhapatnam, Vijayawada or Guntur, or industry approvals through the state's single desk portal.
Annual Compliance Is Central, Not State-Specific
After registration, the annual obligations are the same in Andhra Pradesh as anywhere else, and they apply even if the LLP has no business:
- Form 11 (annual return) by 30 May.
- Form 8 (statement of account and solvency) by 30 October.
- ITR-5 by 31 July, or 31 October if a tax audit applies.
- An audit if turnover exceeds ₹40 lakh or partners' contribution exceeds ₹25 lakh.
Filing Form 8 or Form 11 late attracts an additional fee of ₹100 per day per form, with no upper limit. Andhra Pradesh's own filings, such as professional tax returns, run on separate calendars, so a single shared compliance calendar is the easiest way to avoid missing any of them.
A Quick Checklist for Andhra Pradesh Founders
- Confirm you have at least two designated partners, one resident in India.
- Arrange address proof and an NOC for your registered office in the state.
- Check the current Andhra Pradesh stamp duty before you sign the LLP agreement.
- File Form 3 within 30 days of incorporation.
- Register for shops and establishments, professional tax and GST where they apply.
- Put the Form 11, Form 8 and income tax dates in your calendar from day one.
Final Thoughts
For founders across Andhra Pradesh, the LLP offers limited liability with modest paperwork. Registration follows the national process. The Andhra Pradesh-specific work is small but real: the right registered office documents, a correctly stamped LLP agreement and the right local registrations.
