Converting Your Business Entity in Telangana: ROC Hyderabad, State Registrations and Stamp Duty
Entity conversion for Telangana businesses: ROC Hyderabad, the Registrar of Firms, Telugu newspaper notices, property and stamp duty, and state registrations.
Converting a business from one legal form to another, a partnership firm into an LLP, an LLP into a company, or a company into an LLP, follows national law under the Companies Act and the LLP Act. But for a business based in Telangana, several of the offices, notices and registrations involved are local. This guide covers what a Telangana business should expect, beyond the MCA filings themselves.
ROC Hyderabad and the MCA Filings
For a Telangana business, the new LLP or company is registered with the Registrar of Companies, Hyderabad, which covers the whole state. All conversion forms, including Form 17, Form 18 and URC-1, are filed online on the MCA portal, so there's no need to visit the ROC. The new entity's registered office should be a Telangana address, backed by a utility bill and, if rented, a rent agreement and the owner's NOC.
Partnership Firms and the Telangana Registrar of Firms
Partnership firms in Telangana are registered with the state's Registrar of Firms, not with the ROC. When a registered firm converts into an LLP or company, the MCA registration doesn't automatically update the Registrar of Firms. The firm should inform the Registrar of Firms that it has been converted, so its record there reflects that it no longer exists as a firm.
If the firm was never registered with the Registrar of Firms, it can still convert, but the partnership deed and other evidence of the firm's existence become more important in the application.
Newspaper Notices in Telugu and English
Several conversion routes require a public notice before the conversion, so creditors and others can object. When a partnership firm or LLP registers as a company, for example, the notice is published in an English newspaper and in a newspaper in the principal vernacular language of the district. For a business in Hyderabad or elsewhere in Telangana, that means a Telugu newspaper. The notice has to run in time for the objection period before the application is filed.
Property in Telangana
In a statutory conversion, the old entity's property vests in the new one by law. Even so, a business that owns or leases property in Telangana should:
- Update title records with the Sub-Registrar's office and mutation records with GHMC or the local municipality, so the property is recorded in the new entity's name.
- Inform landlords of leased premises, and update the lease if the landlord requires it.
- Check the stamp duty position with a professional. Whether a statutory conversion attracts stamp duty in Telangana depends on the route and the property, and it's different from a business transfer, where a conveyance of immovable property generally does attract stamp duty.
For a proprietorship moving its business into a company, where there's no statutory vesting, property has to be transferred by a registered conveyance, which carries Telangana stamp duty and registration fees.
State Registrations to Move Across
The new entity usually needs its own state registrations, or has the old ones transferred:
- GST: a new registration on the new entity's PAN with the Telangana GST authorities, with unused input tax credit moved across through ITC-02.
- Professional Tax: a new enrolment and employer registration with the Telangana Commercial Taxes Department, and closing the old ones.
- Shops and Establishments: registration in the new entity's name with the Telangana Labour Department.
- Trade licence: a trade licence from GHMC or the local municipality in the new entity's name.
Industrial land and incentives
Businesses with an industrial plot allotted by a state agency such as TGIIC (formerly TSIIC), or state industrial incentives, should check the terms before converting. Allotments and incentives are often tied to the original entity, and a change in its constitution may need the authority's approval to carry them over.
A Checklist for Telangana Businesses
- Choose the conversion route, and check the tax-neutrality conditions.
- Bring pending ROC, GST and income-tax filings up to date.
- Plan the English and Telugu newspaper notices, where the route requires them.
- After conversion, inform the Registrar of Firms if the business was a registered firm.
- Update property records, and check the stamp duty position.
- Move GST, Professional Tax, Shops and Establishments and trade licence registrations to the new entity.
