Business Contracts in Telangana: Stamp Duty, Registration and Dispute Resolution

Contracts for Telangana businesses: stamp duty and registration with the state, 11-month rentals in Hyderabad, commercial courts, and arbitration at IAMC.

The law of contracts is national, set by the Indian Contract Act, 1872. But three practical questions about a contract depend on the state: how much stamp duty it attracts, whether it has to be registered and where, and where disputes will be resolved. For a business in Telangana, the answers involve the state's Registration and Stamps Department, Hyderabad's commercial courts, and its arbitration centre. This guide covers them.

Stamp Duty in Telangana

Stamp duty is a state subject. An agreement signed in Telangana is stamped under the Indian Stamp Act as it applies in Telangana, at the rates the state has set for that type of document. Rates differ from one type of document to another, and from Telangana's neighbouring states, so a figure quoted for Karnataka or Maharashtra won't necessarily apply.

  • Most commercial agreements, like NDAs, service agreements and founders' agreements, attract a fixed or modest duty.
  • Leases, conveyances and agreements involving property attract duty based on value.
  • An unstamped or under-stamped document is still a contract, but it can't be admitted as evidence until the deficit and a penalty are paid.

Stamp duty is paid through the Telangana Registration and Stamps Department, by stamp paper or the other methods it permits. We confirm the right duty before signing.

Registration of Documents

Some documents have to be registered with a Sub-Registrar as well as stamped. In Telangana, registration is handled by the Registration and Stamps Department's Sub-Registrar offices.

  • Leases of property for more than a year must be registered.
  • Sale deeds, gift deeds and other transfers of immovable property must be registered.
  • Most commercial agreements, like NDAs and service contracts, don't need registration.

Office rentals in Hyderabad

This is why so many office and residential rentals in Hyderabad are written as 11-month leave and licence agreements: a term of less than a year avoids compulsory registration. A longer lease for a business premises is often worth registering anyway, since an unregistered lease that should have been registered can't be relied on to prove its terms.

Where Disputes Are Resolved

Courts in Hyderabad

Commercial disputes above a specified value are heard by dedicated commercial courts under the Commercial Courts Act, 2015, which aim to resolve business disputes faster. In Hyderabad, commercial courts hear these cases, with appeals going to the commercial division of the High Court for the State of Telangana. A contract that chooses Hyderabad courts, where they have jurisdiction, gives certainty about where a dispute will go.

Arbitration in Hyderabad

Many business contracts choose arbitration instead of courts. Hyderabad has its own institution for this, the International Arbitration and Mediation Centre (IAMC), which administers arbitrations and mediations. A contract can name Hyderabad as the seat of arbitration, and IAMC or another institution to administer it, which makes the process more predictable than ad hoc arbitration.

Mediation first

Under the Commercial Courts Act, most commercial suits that don't need urgent relief must first go through pre-institution mediation. A contract with a clear dispute resolution clause, including negotiation or mediation before arbitration or litigation, fits naturally with that.

Employment Contracts and Telangana Law

Employment contracts for staff in Telangana have to respect the state's labour rules, including the Telangana Shops and Establishments Act on working hours, weekly offs, leave and holidays, and the Professional Tax deducted from salaries. A contract can offer more than the law requires, but not less.

E-Signatures

Contracts signed in Telangana can be signed electronically, with Aadhaar e-sign or a DSC, as the IT Act, 2000 applies across India. Documents that must be registered, and property transfers, generally still need to be executed and registered in the prescribed way.

A Checklist for Telangana Businesses

  1. Confirm the stamp duty under Telangana's rates before signing.
  2. Register leases of more than a year, and any property transfers, with the Sub-Registrar.
  3. Choose governing law and dispute resolution: Hyderabad courts, or arbitration seated in Hyderabad.
  4. Check employment contracts against Telangana's Shops and Establishments rules.
  5. Keep signed, stamped originals, and track renewal and notice dates.
