Business Bank Account Opening in Meghalaya: Documents, DSCs and Common Delays

What banks ask for when a company, LLP or proprietorship in Meghalaya opens a current account, how DSCs fit in, and the mistakes that cause most delays.

For a new business in Meghalaya, the certificate of incorporation or the GST number isn't really the finish line. The business can't take payments, pay suppliers or, for a company, formally commence business until it has a current account in its own name, and its directors can't sign a single filing without a Digital Signature Certificate. The KYC rules come from the RBI and are the same across India, but the documents that prove a business in Meghalaya exists, and the verification banks do, have some local detail. This guide covers both.

Get the DSCs First

Every director of a company and every designated partner of an LLP needs a Class 3 DSC to sign filings on the MCA portal, and companies also need one to file their income tax return. For a new company, the DSCs are usually obtained before incorporation, since SPICe+ itself has to be signed with them.

DSCs are issued online by licensed Certifying Authorities, with Aadhaar or PAN-based verification and a short video, so a founder in Meghalaya doesn't need to visit any office. The token is couriered or collected locally. Our separate guide on getting a DSC in Meghalaya covers where to get one and where you'll use it.

Check the names before anything else

The most common cause of delay, for both DSCs and bank accounts, is a name that doesn't match across PAN, Aadhaar and the entity documents, such as an initial expanded in one and not the other, or a spelling difference. Fixing a PAN or Aadhaar record takes days, so check it before you start.

Opening a Company or LLP Account

Once the certificate of incorporation is issued, a company or LLP can open its current account. The bank will ask for:

  • The certificate of incorporation, MoA and AoA (or LLP agreement), and the entity's PAN.
  • A board resolution, or partners' resolution for an LLP, to open the account and name the authorised signatories. Most banks give you their own format, and using it avoids a round of corrections.
  • KYC for each signatory, and for every beneficial owner holding more than 10% of the shares, capital or profits.
  • Proof of the registered office address, such as a recent electricity bill, with a rent agreement and the owner's NOC if the premises are rented.

SPICe+ also lets a company apply for an account with participating banks as part of incorporation. It saves re-entering data, but the bank still runs its own KYC before activating the account.

Don't forget INC-20A

A company must file INC-20A, declaring that it has commenced business, within 180 days of incorporation. The form needs proof that the shareholders' subscription money was received in the company's bank account, so the account and the first deposit have to happen well before that deadline. Missing it leads to penalties and can get the company struck off.

Opening a Proprietorship Account in Meghalaya

A proprietorship has no incorporation certificate, so banks ask for proof that the business exists in its trade name, usually two documents from the RBI's list. For a business in Meghalaya, the ones most commonly used are:

  • GST registration certificate, if the business is registered.
  • Udyam registration certificate.
  • Registration under Meghalaya's shops and establishments law, from the Labour Department.
  • A professional tax enrolment or registration certificate.
  • A trade licence from your municipal corporation, municipality or panchayat, or another registration issued in the business's name by a government authority.
  • Utility bills for the premises in the business's name, or an income tax return showing the business income.

If only one document is available, some banks will accept it along with a contact point verification of the premises. Shops and establishments registration is often the quickest way to get a second document in a new business's name.

Address Verification in Shillong

Most banks verify the business address before activating a new current account, either by visiting the premises or by video. A few practical points:

  • The address on the application should match the one on the incorporation documents or business proofs, down to the flat or unit number.
  • If the registered office is a residential flat, make sure someone can receive the verifier, and that the owner's NOC is on file if it isn't owned.
  • Coworking and virtual office addresses are generally accepted, but some banks are stricter about them. Check with the bank before you commit to one.
  • The account can be opened at any branch, but a branch near the registered office usually makes verification simpler.

Choosing a Bank

There's no rule about which bank a small business must use, but it's worth comparing a few things before you apply:

  • Minimum balance: current accounts range from low-balance startup accounts to ones with high average balance requirements and charges for falling short.
  • Digital banking: bulk payments, multiple users with different approval rights, and integration with payment gateways and accounting software.
  • Branch access: whether you'll need to deposit cash or visit often, and whether the bank has a branch near your office.
  • Future borrowing: if the business expects to take loans of ₹5 crore or more, RBI rules affect which banks can hold its current account, so discuss it early.

Common Delays and How to Avoid Them

  1. Match names across PAN, Aadhaar and the entity documents before you start.
  2. Use the bank's own format for the board or partners' resolution, signed by the right people.
  3. Collect KYC from every beneficial owner above 10%, not only the signatories.
  4. Make sure the registered office address is complete and someone is available for verification.
  5. For a proprietorship, have two business proofs ready, such as GST and shops and establishments registration.
