Board and General Meetings in Telangana: AGM Venues, Extensions and Local Rules
How Telangana companies hold board meetings and AGMs: where the AGM can be held, extending it with ROC Hyderabad, and when NCLT Hyderabad can step in.
The rules for board meetings and shareholder meetings come from the Companies Act, 2013 and apply the same way across India. But when a Telangana company needs to go beyond the routine — hold its AGM somewhere other than its registered office, get more time for an AGM, or have a meeting called when the shareholders can't agree — the authorities it deals with are local. This guide covers the meeting basics and the Telangana specifics that go with them.
The Meetings Every Telangana Company Holds
- Board meetings: the first within 30 days of incorporation, then at least four a year with no more than 120 days between two. Small companies, OPCs and dormant companies need only one in each half of the calendar year, at least 90 days apart.
- Annual General Meeting: within six months of the financial year end, so by 30 September, and no more than 15 months after the previous AGM. A company's first AGM can be held within nine months of the end of its first financial year. OPCs don't hold one.
- Extraordinary General Meetings: called whenever a decision needs shareholder approval before the next AGM, such as changing the articles or approving a share issue.
Board meetings need at least 7 days' notice, and general meetings 21 clear days, unless shorter notice is validly agreed. For a private company's general meeting, two members personally present form the quorum unless the articles say otherwise.
Where and When the AGM Can Be Held
An AGM has to be held during business hours, between 9 am and 6 pm, on a day that isn't a national holiday. By default it's held at the registered office or somewhere else in the same city, town or village. A company registered in Gachibowli can hold its AGM at a hotel or co-working space elsewhere in Hyderabad without any special approval.
Holding the AGM outside the city
A private company can hold its AGM anywhere in India if all its members consent, in writing or electronically, in advance. That's useful when founders are spread across cities or the company's operations are elsewhere in Telangana, like Warangal or Karimnagar.
State holidays
The national-holiday restriction refers to holidays declared by the Central Government. Telangana's state holidays, such as Bathukamma or Bonalu, aren't barred by the Act, but they're rarely practical dates because members, auditors and banks are often unavailable.
Extending the AGM Deadline with ROC Hyderabad
If a Telangana company can't hold its AGM by 30 September, typically because the audit isn't finished, it can apply to the Registrar of Companies, Hyderabad for an extension of up to three months. The application is filed on the MCA portal in Form GNL-1, with the reasons, before the original deadline runs out.
- The extension isn't available for a company's first AGM.
- It's granted at the Registrar's discretion, for special reasons. A delayed audit with a clear explanation is the usual case. Simply not having started isn't a strong one.
- Once granted, AOC-4 and MGT-7 are counted from the date the AGM is actually held within the extended period.
Applying late, or not applying at all and holding the AGM after 30 September, leaves the company and its officers exposed to penalties for the default.
When a Meeting Can't Be Held: NCLT Hyderabad
Sometimes meetings break down, usually between founders who've fallen out. The Companies Act lets the National Company Law Tribunal step in, and for companies registered in Telangana that's the Hyderabad bench of the NCLT.
- If a company fails to hold its AGM, any member can apply to the Tribunal to have one called.
- If it's impracticable to call or hold a meeting in the normal way, for example because a deadlocked shareholder keeps the meeting from reaching quorum, a director or member can ask the Tribunal to order one and give directions on how it's held.
These are last resorts. Well-drafted articles and a shareholders' agreement that anticipate deadlock usually avoid getting there.
Resolutions and Filings With ROC Hyderabad
Many meeting decisions have to be reported to the ROC, which for Telangana companies means filings processed through ROC Hyderabad on the MCA portal:
- MGT-14, within 30 days, for special resolutions and certain other resolutions. Private companies are exempt from filing most board resolutions this way, but not special resolutions passed by shareholders.
- Event-based forms the decision triggers: DIR-12 for director changes, ADT-1 for auditor appointments, PAS-3 for share allotments, and INC-22 for a change of registered office.
Moving your registered office within Telangana
Moving the registered office within Hyderabad needs a board resolution and an INC-22 filing. Moving outside the city's limits, say from Hyderabad to Warangal, also needs a special resolution from the shareholders. Since all of Telangana falls under the one ROC in Hyderabad, a move within the state doesn't need the Regional Director's confirmation that applies when a company moves between two ROCs in the same state. Moving out of Telangana is a much longer process.
Keeping the Records
Minutes of board meetings and general meetings are kept in separate minute books at the registered office, signed by the chair within 30 days of the meeting, and preserved permanently. Draft board minutes go to directors within 15 days for comments first. Banks in Hyderabad, like anywhere else, will ask for certified copies of specific resolutions when you open an account, change signatories or borrow, so it pays to have them in order.
How to Stay on Top of It
- Put the year's board meetings in the calendar at the start of the financial year, spaced to stay within the 120-day gap.
- Plan the AGM backwards from 30 September, leaving time for the audit and the 21-day notice.
- If the audit is running late, apply to ROC Hyderabad for an extension before the deadline, not after.
- Check before each meeting whether a decision needs the board, the shareholders, or both, and which type of resolution.
- Finalise and sign minutes within 30 days, and file MGT-14 and any follow-on forms on time.
